Name & Objectives
The name of the Club shall be "The Old English Sheepdog Club" and its objects shall be:-
a) to further the responsible ownership, breeding snd exhibiting of the O.E.S.
b) to promote a further interest in the breed, and in exhibiting, by novices, and thus encouraging them to take a greater interest in the breed.
c) to advancee the interest in the breed by holding Shows.
The club shall consist of a President, and Vice Presidents who shall be elected members at a General Meeting. It shall further consist of a Committee of twelve, including the Chairman, Honorary Secretary, Honorary Treasurer (the officers), and an unlimited number of ordinary members, whose names and addresses shall be kept by the Secretary.
The Committee shall be elected at the Annual General Meeting. Candidates eligible for election must have been a member of the Old English Sheepdog Club for two full financial years. Candidates for the Committee must be proposed and seconded by fully paid up members of the Club.
Members of the Committee prepared to stand for a further term of office must signify in writing to the Secretary, their willingnessto stand, and do not require to be proposed or seconded.
The management of the Club shall be in the hands of the Officers, and a Committee of 9 members.
Officers shall be elected for a term of three years, with one Officer standing down each year, who may offer themselves for re-election. In the event of an Officer being replaced mid-term, then the replacement will serve until the end of the original term.
Members of the Committee shall be elected for a term of 3 years, but may offer themselves for re-election. In the event of a Committee Member being replaced mid-term, then the replacement will serve until the end of the original term.
All Officers and Committee shall have full voting rights, in addition the Chairman shall have the casting vote where necessary.
Meetings of the Committee shall be held as often as deemed necessary, with a minimumof three per year. At least 10 days notice shall be given for Committee meetings, such notice to include an agenda.
Any Committee member failing to attend three consecutive meetings, except through such exceptional circumstances as accepted by the Committee, shall be required to withdraw from the Committee.
A quorum for Committee meetings shall be 5, including 2 Officers.
The Committee shall have the power to co-opt members onto the Committee in the event of positions becoming vacant between General Meetings.
Those co-opted shall only hold office until the next General Meeting of the Club at which an election of Officers and Committee takes place. The Committee shall elect a Vice Chairman and Assistant Secretary at the first meeting after the Annual General Meeting, from within their number.
Committee members are not allowed to serve on any other Old English Sheepdog Breed Club Committee, whilst serving on the Committee of the Old English Sheepdog Club.
4. Election of Members
Any person favourable to the objects of the Club shall be eligible for membership. Each candidate for membership shall be proposed by one member of the Club, and seconded by another, admission to membership to be by a simple majority vote of the Committee.
Any application for membership will acknowledge an undertaking to abide by the Club's Rules and Code of Ethics.
5. Voting Rights
Each member shall be entitled to one vote after three months membership. Joint members will be entitled to a vote for each member of the partnership. Junior Members (under the age of 16 years) have no voting rights.
Postal or proxy votes are not allowed for election of Officers and Committee.
Voting shall be by majority, using secret ballot.
6. Society Property
The property of the Club, whatsoever and wheresoever, shall be vested in the Committee. In the event of the Society ceasing to exist, a General Meeting shall be called to decide the disposal of the Society's assets.
If the Scoiety is wound up or ceases to be a Registered Society under these Regulations, a final statement of accounts with a record of the disposal of the property of the Society shall be forwarded to the Kennel Club within six months and the persons named as Officers and Committee of the Society will be held responsible by the Kennel Club for the proper winding up of the Society.
Any Challenge Cups and Trophies donated to the Club will only be accepted if given outright. All Challenge Cups and Special Prizes shall be held on behalf of the Club by the Honorary Secretary. The Committee may be empowered to appoint a Cup Steward.
7. Club Accounts
A Banking Account will be maintained in the name of the Club, into which all revenue of the Club shall be paid, and from which withdrawals shall only be made upon the signatures of at least two Officers. All expenses incurred by the Honorary Secretary, Honorary Treasurer or other members of the Committee, or by any other member for or on behalf of the Club on the authority of the Committee, shall be defrayed out of the funds of the Club.
The Secretary and Treasurer shall be entitled to claim an honorarium from the Society of such sum as agreed by the A.G.M. Such honorarium shall be paid by cheque and should be signed by two Officers other than the individual recipient. If the honorarium is neither requested or drawn prior to the closure of the Society's accounts at each year end, then they are deemed to have declined to receive it for that year.
The accounts shall be kept by the Treasurer, and Auditors shall be appointed at each Annual General Meeting, for the ensuing year, who shall audit the Club's Accounts before the Annual General Meeting.
The rate of Annual Subscriptions shall be reviewed by the Committee and decided at the A.G.M.
Subscriptions will be due on the 1st January each year, to be recieved by the 28th January, after which date the member shall be deemed to be in arrears. If any member shall fail to pay the Annual Subscription by 31st March, the Committee shall have the power to erase that name from the list of members, but if the Committee shall subsequently receive a satisfactory explanation, the member may, at the discretion of the Committee, and on payment of the arrears, be re-admitted to membership.
A member in arrears with his/her subscription forfeits all voting rights and privileges of the Club.
A book of rules and Membership Card shall be available on joining to each member.
Once members have been accepted for membership, providing they continue to pay their membership subscriptions at the correct time, they cannot be refused renewal of membership. With the exception of default on subscriptions, the only way a member shall be removed from the Society's register is by following the procedure defined in rule 9.
9. Expulsion of Members
Any Member who shall be suspended under Kennel Club Rule A42j(5) and/or any member whose dog(s) is/are disqualified under Kennel Club Rule 42j(9) shall ipso facto cease to be a Mmeber of the Club for the duaration of the suspension and/or disqualification.
If the conduct of any member shall, in the opinion of the Committee of the Society, be injurious to the character or interests of the Society, the Committee of the Society may, at a meeting the notice convening which includes as an object the consideration of the conduct of the Member, determine that a Special General Meeting of the Club shall be called for the purpose of passing a resolution to expel him/her.
Notice of the Special General Meeting shall be sent to the accused Mmeber, giving particulars of the complaint and advising the place, date and hour of the Meeting that he/she may attend and offer an explanation.
If at the Meeting, a resolution to expel is passed by a tw-thirds majority of the Members present and voting, his/her name shall be forthwith erased from the list of Members, and he/she shall thereupon cease for all purposes to be a Member of the Club, except that he/she may, within two calendar months from the date of such Meeting, appeal to the Kennel Club upon, and subject to, such conditions as the Kennel Club may impose.
In the event of a member being expelled from the Club for discreditable conduct in connection with dogs, Dog Shows, Trials or Competitions, the Society shall reoprt the matter in writing to the Kennel Club within seven days and supply any particulars required.
10. Financial Year / Annual General Meeting
The financial year of the Club shall be from 1st January to 31st December.
The Annual General Meeting shall be held between 29th January and 30th June each year.
11.Annual General Meeting
The nature of Business to be conducted will be to receive the reports of the Club's Officers and Balance Sheet, to elect Officers, Committee, Auditors & Scrutineer, and to discuss any resolution duly placed on the Agenda of which prior notice has been given to the Hon. Secretary. No Business shall be transacted at an Annual General Meeting unless notice thereof appears on the Agenda, with the exception of routine matters or those which in the opinion of Chairman of the meeting are urgent.
a) Notice of meetings shall be posted to members in writing, or advertised in the Canine Press, namely "Our Dogs" and "Dog World".
b) At least 28 days notice shall be given of meetings.
c) Items for inclusion on the agenda shall be submitted to the hon. Secretary, to be received at least 14 days prior to the meeting.
d) The agenda shall be circulated at the meeting.
12. Special General Meeting
A Special General Meeting may be summoned by the Hon. Secretary if twenty Members send a signed requisition stating the subject to be discussed and requesting a Special General Meeting to do so. The Committee of the Club is also empowered to call a Special General Meeting.
No business other than that detailed on the Agenda can be discussed at a Special General Meeting.
The method of convening and notifying members of a Special General Meeting shall be as laid down for the Annual General Meeting in Rule 11.
13. Ammendments to Rules
The Rules of the Club may not be altered except at a General Meeting, the Agenda for which contains specific proposals to amend the Rules.
Any proposed alteration to the Rules may not be brought into effect until the Kennel Club has been advised and approved the alteration.
14. Annual Returns to the Kennel Club
The Officers acknowledge that during the month of January each year, Maintenance of Title fee will be forwarded to the Kennel Club whether by the Secretary or by Direct Debit, for continuance of registration and that by 31st July each year, other returns, as stippulated by the Kennel Club Regulations for the Registration and Maintenance of Title of Societies and Municipal Authorities, will be forwarded to the Kennel Club. The Officers also acknowledge their duty to inform the Kennel Club of any change of Secretary of the Club which may occur during the course of the year.
15. Kennel Club Final Authority
The Kennel Club shall be the final court of appeal in all matters of dispute.
16. The Club shall not join any Federation of Societies or Clubs.
17. The Club shall make an up to date list of members and their addresses available for inspection by the Kennel Club and members of the Club if so requested. Membership details will be stored in a computer database and will be used by the Officers of the Club for reference and mailing purposes. Any member not wishing their details to be dislcosed should advise the Treasurer when paying / renewing their membership subscription.
18. No person whilst an undischarged bankrupt may serve on the Committee of or hold any other Office or appointment within a Kennel Club Registered Society.
